1. Who We Are
These Terms of Use (“Terms”) govern your use of the website operated by Myrex Inc., a Delaware corporation based in Henderson, Nevada (“Myrex,” “we,” or “us”).
By accessing or using this website, you agree to these Terms. If you do not agree, you must not use the site.
2. Who May Use This Site
This site is intended only for business users interested in Myrex’s products and services, such as employees and representatives of manufacturing companies and other organizations.
You may use the site only if you:
• Are at least 18 years old; and
• Have the legal authority to agree to these Terms on behalf of yourself or the business you represent.
We do not intentionally target or collect information from children under 16, and the site is not meant for personal, household, or consumer use.
3. What This Site Does (and Does Not) Provide
The Myrex website currently provides:
• Information about Myrex and its “3D Digital Twins for manufacturing maintenance and support” offerings; and
• Ways to contact us, request information, and schedule demos (for example, through online forms, contact links, and scheduling tools).
The site does not currently provide access to the Myrex SaaS product itself. Any future SaaS platform or customer portal will be governed by separate terms and conditions.
4. Your Responsibilities When Using the Site
You agree that you will:
• Use the site only for legitimate business purposes related to evaluating or discussing Myrex’s products and services.
• Provide accurate, current information when you submit forms, request demos, or contact us.
• Comply with all applicable laws and regulations.
You are responsible for any activity that occurs in connection with your use of the site (for example, information you submit through forms or email).
5. Prohibited Uses
You must not, and you agree not to attempt to:
• Use the site for any unlawful, harmful, fraudulent, infringing, or abusive purpose.
• Use the site to harass, threaten, or harm others, or to send spam or other unsolicited communications.
• Use any robot, scraper, spider, crawler, or other automated means to access, monitor, copy, or collect data from the site, except as may be allowed by a public search engine in accordance with its robots.txt.
• Perform security testing on the site (including but not limited to vulnerability scanning, penetration testing, or attempts to bypass any technical or organizational security measures) without our prior written permission.
• Interfere with or disrupt the operation of the site or any related systems or networks.
• Reverse-engineer, decompile, disassemble, or otherwise attempt to discover the source code or underlying components of the site, except to the extent such restrictions are prohibited by law.
• Copy, reproduce, distribute, modify, or create derivative works based on the site or any content on it (including text, diagrams, layouts, and images) except as expressly allowed in these Terms or with our prior written permission.
• Remove or alter any proprietary notices or trademarks on the site.
We may monitor, suspend, or terminate access to the site if we believe these Terms are being violated.
6. Intellectual Property
The site and all content on it—including text, graphics, logos, icons, images, page layouts, and other materials—are owned by or licensed to Myrex and are protected by copyright, trademark, and other intellectual property laws.
Subject to these Terms, Myrex grants you a limited, non-exclusive, non-transferable, revocable license to access and use the site for your internal business purposes only.
Except for that limited license, no rights are granted to you in any Myrex intellectual property. Any use of the site or its content not expressly permitted by these Terms is prohibited.
7. Feedback
If you send us comments, ideas, or suggestions about the site or our products (“Feedback”), you agree that Myrex may use that Feedback without restriction and without any obligation to compensate you.
You represent that you have the right to provide any Feedback you submit.
8. Third-Party Services and Links
The site may include or connect to third-party services and tools, such as:
• Google Analytics (website analytics);
• HubSpot (CRM and marketing tools);
• Calendly (demo scheduling and calendar booking);
• Google reCAPTCHA or similar tools (to identify and block spam or automated abuse); and
• Framer (website platform/hosting and related functionality).
These third-party services are operated by others, not by Myrex. Their own terms and privacy policies govern your use of those services.
Myrex is not responsible for the content, security, or practices of third-party websites or services, and links to them are provided for convenience only.
9. No Warranties (“AS IS”)
The site and all content on it are provided “AS IS” and “AS AVAILABLE” without any warranties of any kind, whether express, implied, or statutory.
To the fullest extent permitted by law, Myrex disclaims all warranties, including but not limited to:
• Implied warranties of merchantability, fitness for a particular purpose, and non-infringement;
• Any warranties that the site or its content will be accurate, complete, up to date, error-free, or available at any particular time; and
• Any warranties that the site will be secure or free from viruses or harmful code.
You use the site at your own risk. Information on the site is for general informational purposes only and should not be relied on as professional or technical advice.
10. Limitation of Liability
To the fullest extent permitted by law:
• Myrex and its officers, directors, employees, and affiliates will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunities, arising out of or relating to your use of (or inability to use) the site.
• Myrex’s total, aggregate liability for any and all claims arising out of or relating to the site or these Terms will be limited to the greater of (a) $100 (one hundred U.S. dollars), or (b) the total amount you paid Myrex, if any, in connection with your use of the site that gave rise to the claim.
These limitations apply whether the claim is based on contract, tort (including negligence), strict liability, or any other legal theory, even if Myrex has been advised of the possibility of such damages.
Some jurisdictions do not allow certain limitations of liability, so some of the above limitations may not apply to you. In those cases, the limitations will apply to the greatest extent permitted by applicable law. Nothing in these Terms is intended to limit liability where the law does not allow such a limitation (for example, in cases of gross negligence or willful misconduct).
11. Indemnification
To the extent permitted by law, you agree to indemnify and hold harmless Myrex and its officers, directors, employees, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to:
• Your use of the site or any content obtained from it;
• Your violation of these Terms; or
• Your violation of any law or the rights of any third party in connection with your use of the site.
12. Governing Law and Dispute Resolution
These Terms and any dispute arising out of or relating to them or your use of the site will be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict-of-laws rules.
Any legal action or proceeding arising out of or relating to these Terms or your use of the site will be brought exclusively in the state or federal courts located in Delaware, and you and Myrex consent to the personal jurisdiction of those courts and waive any objection to venue in those courts.
If you are located in a jurisdiction that does not permit such a choice of law or forum, these provisions will apply only to the extent permitted by the laws of your jurisdiction.
13. Changes to the Site and These Terms
We may modify, suspend, or discontinue any part of the site at any time without prior notice.
We may also update these Terms from time to time—for example, to reflect changes in the site, our business, or applicable law. When we make changes, we will update the “Last Updated” date at the top of these Terms and may provide additional notice where required by law.
Your continued use of the site after changes are posted means you accept the updated Terms.
14. Privacy
Your use of the site is also subject to our Privacy Policy, which explains how we collect, use, and share information about you when you visit the site, submit forms, or contact us.
Please review the Privacy Policy carefully. If you do not agree with it, you should not use the site or provide us with your information.
15. Termination
We may suspend or terminate your access to the site at any time and for any reason, including if we believe you have violated these Terms or applicable law.
Even after termination, provisions of these Terms that by their nature should survive (such as those relating to intellectual property, disclaimers, limitations of liability, governing law, and dispute resolution) will continue to apply.
16. Miscellaneous
• Entire Agreement. These Terms, together with our Privacy Policy, form the entire agreement between you and Myrex regarding your use of the site.
• No Waiver. Our failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision.
• Severability. If any provision of these Terms is held to be invalid or unenforceable, that provision will be enforced to the maximum extent permitted and the remaining provisions will remain in full force and effect.
• Assignment. You may not assign or transfer these Terms or any rights or obligations under them without our prior written consent. We may freely assign these Terms as part of any corporate transaction or reorganization.
